What is an LLC ?
A limited liability company (LLC) is a business structure in the U.S. that protects its owners from personal responsibility for its debts or liabilities.
Owners of an LLC are called members. Most states do not restrict ownership, so members may include individuals, corporations, other LLCs and foreign entities. There is no maximum number of members. Most states also permit “single-member” LLCs, those having only one owner.

What’s the difference between a limited liability company (LLC) and a corporation?
Limited Liability Company (LLC) and Corporation are two distinct types of business entities, each with its own characteristics and legal structure. Here are the key differences between an LLC and a corporation:
Legal Structure: A corporation is a separate legal entity that is owned by shareholders. It is created by filing articles of incorporation with the appropriate state authority. An LLC, on the other hand, is a legal entity formed by filing articles of organization with the state. It combines elements of both a partnership and a corporation.
Ownership and Management: In a corporation, ownership is represented by shares of stock, and shareholders have ownership rights based on the number of shares they hold. Corporations have a hierarchical structure with shareholders, a board of directors, and officers managing day-to-day operations. LLCs, on the other hand, have members who have ownership interests, similar to partnership interests. LLCs can be managed by members themselves or by appointed managers.
Liability Protection: Both LLCs and corporations offer limited liability protection to their owners, shielding them from personal liability for the business’s debts and obligations. This means that the owner’s personal assets are generally protected from business liabilities. However, it’s important to note that personal liability protection can be subject to certain exceptions and legal requirements depending on the jurisdiction.
Formalities and Compliance: Corporations typically have more formal requirements and compliance obligations compared to LLCs. This includes holding annual meetings, maintaining meeting minutes, issuing stock certificates, and adhering to certain record-keeping and reporting requirements. LLCs generally have fewer formalities and offer more flexibility in terms of management and decision-making.
When choosing between an LLC and a corporation, it’s important to consider factors such as the nature of your business, desired management structure, tax implications, liability protection, and long-term goals. Consulting with a legal or tax professional can help you determine the most suitable entity type for your specific circumstances.
